STANDARD SUBCONTRACTOR AGREEMENT
BETWEEN:
-
Decking Warrington Limited (the "Company"); and
-
The Subcontractor (the individual or entity engaged to perform the Works).
1. ACCEPTANCE OF TERMS (DEEMED ACCEPTANCE)
1.1 The Subcontractor is deemed to have accepted this Agreement in full upon the earlier of: (a) commencing any part of the works; (b) accepting any payment; or (c) issuing an invoice or timesheet. A signature is not required to make this legally binding.
2. SCOPE OF WORKS & SUBSTITUTION
2.1 The Subcontractor shall perform decking, fencing, gate, pergola, gazebo, shed, garden building installation or any other related services as specified for each project.
2.2 Right of Substitution: The Subcontractor may appoint a skilled substitute but remains responsible for their payment and the quality of their work.
3. CONFIDENTIALITY & DATA PROTECTION (GDPR)
3.1 Confidential Information: The Subcontractor must keep secret all business information, including client lists, project addresses, pricing, and Company methods.
3.2 Data Protection: The Subcontractor shall only use customer personal data (names, addresses) for the sole purpose of completing the assigned project. They must not share this data with third parties and must delete it once the job is finished.
3.3 Exceptions: This does not apply to information already in the public domain or required to be disclosed by law.
4. NON-SOLICITATION & INTELLECTUAL PROPERTY
4.1 Customers: The Subcontractor shall not solicit or provide services directly to any customer introduced by the Company for 12 months following a project.
4.2 Media: All photos/videos of the Works are the Company's property. The Subcontractor shall not post these to their own social media or website without prior written consent from the Company Directors.
4.3 Reviews: All customer reviews must be directed to the Company’s profiles only.
5. COMPANY PROPERTY, VEHICLES & UNIFORM
5.1 Exclusive Use: Company vehicles, tools, and equipment are for the exclusive use of Company projects. Use for private jobs is strictly prohibited.
5.2 Uniform: Branded uniform must only be worn while performing Works for the Company.
5.3 Return of Property: All property (keys, tools, uniforms, materials, equipment) must be returned immediately upon request, project completion or termination. Final payment may be withheld until all property is returned.
6. INSURANCE & STATUS
6.1 Insurance: The Subcontractor is covered under the Company’s Public Liability and Employer’s Liability insurance while performing authorised Works.
6.2 Tax: The Subcontractor is an independent contractor and is solely responsible for their own Income Tax and National Insurance.
7. PAYMENT & DEFECTS
7.1 Payment will be made direct to your bank account Every Friday, One Week in Arrears of a valid invoice or timesheet being received by 9PM Sunday.
7.2 The Subcontractor must rectify any workmanship defects identified within 12 months at their own expense.
